Terms of Sale

1. Who we are & scope

These Terms govern the sale of products by Axion Amino (“Axion,” “we,” “us”) to business and laboratory buyers. By registering an account, or placing an order, you agree to these Terms. If you do not agree, do not use the site. As an electronic transaction under the Electronic Communications and Transactions Act (ECTA), our full legal and contact details are published on this site.

2. Research use only (critical)

All products are supplied strictly as chemical reference compounds for in-vitro laboratory research by qualified professionals. They are not medicines, foods, cosmetics, supplements, or veterinary products, and are not for human or animal consumption, injection, or application of any kind. Nothing on this site is medical advice, and no therapeutic, dosing, or health claim is made or implied.

These products are not registered medicines and have not been evaluated by the South African Health Products Regulatory Authority (SAHPRA) under the Medicines and Related Substances Act 101 of 1965. You are responsible for ensuring your acquisition, possession, and research use are lawful for your organisation and location.

3. Eligibility & research accounts

You must be 18 years or older and purchasing on behalf of a business or laboratory. Orders require a registered research account; we may request verification of your business identity (registered name, VAT or company registration number) and may refuse, suspend, or cancel accounts or orders we believe are non-compliant, fraudulent, or intended for human use. You agree to keep your account credentials secure and your information accurate.

4. Acknowledgments we record

At registration and at checkout you confirm you are a qualified research buyer, 18 or older, purchasing for research use only. We record these acknowledgments with a timestamp, IP address, and the version of these Terms in force, as evidence of the basis of sale.

5. Orders, pricing & VAT

Listings, pricing, and availability may change without notice. Prices for the South African market are shown in Rand and are inclusive of 15% VAT; export orders may be zero-rated and shown in USD. We strive for accuracy but may correct or cancel orders affected by typographical or system errors and will notify you. Lot-to-lot variation within normal analytical tolerance may occur; the Certificate of Analysis (COA) reflects the measured values for the specific lot supplied.

6. Payment

Payments are processed by third-party payment providers. We do not receive or store your full card details. You warrant that you are authorised to use the payment method. Suspected payment fraud or chargeback abuse may result in suspension and investigation; we will contest improper chargebacks.

7. Delivery & risk

We ship by courier; delivery timelines are estimates. Risk in the products passes to you on delivery to the address you provide. Ensure your delivery details are correct — we are not responsible for losses caused by incorrect addresses. For export orders you are the importer of record and responsible for import permits, duties, taxes, and local compliance; we are not liable for customs delays, holds, or seizures.

8. Inspection, returns & refunds

Inspect your order on delivery and report damage, shortages, or incorrect items within 3 business days with photographs and your order number. Because these are research-grade materials with chain-of-custody and stability considerations, we cannot accept returns or give refunds for correctly-supplied, non-defective orders once delivered. This does not limit any right you have under the Consumer Protection Act (CPA) that cannot lawfully be excluded; where the CPA applies, its remedies prevail over any narrower term here.

9. Limited warranty

We warrant that at dispatch each product conforms to its published specification for the supplied lot. Your exclusive remedy for breach is, at our option, replacement or refund of the affected item. Except as stated, and to the extent permitted by law, products are supplied “as is” without further warranties.

10. Handling & buyer responsibility

Products must be handled by trained personnel in a controlled facility using appropriate controls and procedures. You are responsible for hazard assessment, safe storage, and lawful disposal, and for any testing your protocols require. Products are not for resale to the public; if you repackage or relabel, you assume all resulting regulatory obligations.

11. Liability & indemnity

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, and our total liability for any claim will not exceed the amount you paid for the product giving rise to it. You indemnify Axion against claims arising from your handling, storage, use, or resale of products, or from use contrary to clause 2. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Governing law

These Terms are governed by the laws of the Republic of South Africa, and you consent to the jurisdiction of the South African courts. If any provision is found unenforceable, the remainder continues to apply. We may update these Terms by posting a revised version here with a new version number and date.
